Terms of Service

These Terms of Service ("Terms") govern your access to and use of foxreceipts.com and the Fox Receipts SMS-based receipt-capture service (collectively, the "Service"), operated by Allpath Enterprises LLC ("Fox Receipts", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into a contract under the laws of your jurisdiction. The Service is available to residents of the United States and Canada. By using the Service, you represent that you meet these requirements.

2. Account registration

You agree to provide accurate, current information when creating an account, including your country, language preference, and phone number. You are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3. Subscription and billing

• The Service is offered as a paid monthly or annual subscription. Plan tiers and pricing are described at foxreceipts.com/#pricing.
• Payments are processed by Stripe. By subscribing, you authorize Fox Receipts to charge your payment method on a recurring basis.
• Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel any time from your billing settings or via the Stripe Customer Portal.
• 30-day money-back guarantee: if you're not satisfied within 30 days of your first paid month, email [email protected] for a full refund.
• Prices may change with at least 30 days' notice. Founding-member pricing (50% off for life, first 100 signups) is honored as advertised.
• Taxes (sales tax, VAT, etc.) are your responsibility where applicable.

4. SMS messaging program

By verifying your phone number at signup, you consent to receive SMS and MMS messages from Fox Receipts at the number you provide:

• Message types: receipt confirmations, verification codes, audit-note prompts, billing and account notifications.
• Frequency: up to 30 messages per month.
• Cost: standard message and data rates from your wireless carrier may apply.
• Opt-out: reply STOP to stop all messages. You can also reply UNSUBSCRIBE, CANCEL, END, QUIT, or STOPALL.
• Help: reply HELP for assistance, or email [email protected].
• Carrier liability: mobile carriers are not liable for delayed or undelivered messages.

Opting out of SMS messages will deactivate the SMS receipt-capture feature of the Service, but your account and dashboard remain accessible. Re-subscribe at any time by replying START.

5. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or to submit fraudulent receipts.
• Resell, sublicense, or commercially exploit the Service or any data within it.
• Attempt to gain unauthorized access to other accounts, our systems, or third-party systems we integrate with.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Submit content that infringes intellectual property, contains malware, or violates the privacy or rights of others.
• Use the Service to send unsolicited messages or otherwise abuse the SMS messaging program.

Violations may result in suspension or termination of your account without refund.

6. Your content; your data

You retain all ownership rights in the receipts and information you submit. By using the Service, you grant Fox Receipts a limited, non-exclusive license to store, process, and transmit your content solely to provide the Service to you (e.g., to OCR receipts, categorize them, sync them to your accounting platform, and generate tax packs).

We do not use your receipt data to train machine-learning models or to provide services to other users.

7. Intellectual property

The Service, including its design, code, branding, and documentation, is owned by Allpath Enterprises LLC and protected by US and international copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use the "Fox Receipts" name, logo, or branding.

8. Third-party integrations

Fox Receipts integrates with third-party services including QuickBooks Online, Wave, FreshBooks, Xero, and Zoho Books. Your use of these third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or terms of any third-party service.

9. Service availability and changes

We strive to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We'll give reasonable notice before discontinuing a paid feature you depend on.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Fox Receipts does not warrant that the Service will be error-free, uninterrupted, or that any receipt categorization will be accurate for tax-filing purposes. Fox Receipts is a record-keeping tool, not tax advice. Consult a licensed accountant before filing.

11. Limitation of liability

To the maximum extent permitted by law, Fox Receipts' total liability for any claim arising out of or relating to the Service is limited to the amount you paid Fox Receipts in the 12 months preceding the claim. In no event will Fox Receipts be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.

12. Indemnification

You agree to indemnify and hold harmless Fox Receipts, Allpath Enterprises LLC, and our officers, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Service, or your violation of any third-party rights.

13. Termination

You may cancel your subscription at any time. We may suspend or terminate your account if you violate these Terms or if we are required to do so by law. On termination, your SMS service ends immediately. If you have been a paying subscriber, you retain read-only dashboard access indefinitely (the "Lifetime Archive"). You can request data deletion at any time.

14. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in Arlington, Virginia, or by video conference at the arbitrator's discretion. Either party may seek injunctive relief in court for intellectual-property infringement. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
